These Terms & Conditions ("Terms") govern your access to and use of the iNeeda application and related services (collectively, the "Service"), operated by INEEDA PRO LLC ("iNeeda," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Service. By using the Service, you represent that you meet these requirements.

2. The Service

iNeeda is a marketplace that connects customers seeking services with independent service providers. iNeeda is a platform only. Providers are independent businesses and are not employees, agents, or partners of iNeeda. We do not provide the underlying services ourselves, and we are not a party to the agreement for services made between a customer and a provider. We do not guarantee the quality, safety, timing, or legality of any services booked through the Service.

3. Accounts and Registration

Certain features require you to create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

4. Bookings, Payments, and Cancellations

  • Customers may request and book services from providers through the Service. A booking is subject to acceptance by the provider.
  • Payments are processed through our third-party payment processor (Stripe). By making a booking, you authorize the applicable charges, including the service price and any applicable platform fees.
  • iNeeda may charge service or platform fees in connection with bookings; applicable fees are disclosed within the Service.
  • Cancellations, refunds, and any associated fees are governed by the cancellation policies presented within the Service at the time of booking. You agree to those policies when you make or accept a booking.

5. Provider Terms

If you offer services as a provider, you represent that you are operating as an independent business and that you hold any licenses, permits, and qualifications required to provide your services lawfully. You are solely responsible for the services you provide, your interactions with customers, your taxes, and compliance with all applicable laws.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful, fraudulent, or unauthorized purpose;
  • Misrepresent your identity or affiliation;
  • Harass, threaten, or harm other users;
  • Circumvent, disable, or interfere with the security or operation of the Service;
  • Reproduce, duplicate, copy, sell, or resell any part of the Service except as expressly permitted;
  • Attempt to gain unauthorized access to any part of the Service or its systems.

7. SMS / Text Messaging Program

By providing your mobile phone number and opting in, you consent to receive text messages from iNeeda related to your use of the Service.

  • Program description: iNeeda sends transactional and account-related messages, such as booking requests, confirmations, reminders, status updates, account notifications, and verification codes.
  • Consent: Consent to receive SMS messages is not a condition of purchasing any goods or services.
  • Message frequency varies based on your activity.
  • Message and data rates may apply according to your mobile carrier and plan.
  • Opt out at any time by replying STOP to any message. After you opt out, you may receive a final confirmation message. Reply HELP for help, or contact us at team@ineedapro.com.
  • Carriers are not liable for delayed or undelivered messages.

We do not share or sell mobile phone numbers or SMS opt-in or consent information with third parties for their own marketing purposes. See our Privacy Policy for details on how we handle this information.

8. Intellectual Property

The Service, including its software, design, text, graphics, logos, and other content (excluding user-provided content), is owned by or licensed to iNeeda and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purposes. You retain ownership of content you submit, and you grant us a license to use it as needed to operate and provide the Service.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. iNeeda does not warrant that the Service will be uninterrupted, error-free, or secure, or that any provider or customer will perform as expected.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, iNeeda AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO iNeeda IN THE THREE MONTHS PRECEDING THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnification

You agree to indemnify and hold harmless iNeeda and its owners, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your content, or your violation of these Terms or applicable law.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. You may stop using the Service at any time.

13. Governing Law and Disputes

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Massachusetts, and you consent to personal jurisdiction in those courts.

14. Changes to These Terms

We may modify these Terms from time to time. When we do, we will revise the Effective Date above and post the updated Terms. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Miscellaneous

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect. These Terms constitute the entire agreement between you and iNeeda regarding the Service and supersede any prior agreements.
